CONFIDENTIALITY AGREEMENT

This Agreement relates to any practice(s) to which I am introduced by MBC Brokerage(“MBC”) (any such practice(s) are hereafter referred to as the “Practice”). I understand that MBC is the exclusive agent for the vendor of the Practice and I will not attempt to contact the Practice (including its owner(s), staff, patients and other advisors) except through a representative of MBC. I shall obtain any information relating to the Practice (“Practice Information") only through MBC and not from any other source.

I understand that MBC will provide Practice Information to serious prospective purchasers only and I represent that I am a serious prospective purchaser. I agree that all Practice Information (including the location, vendor’s name, and financial and operational details) is strictly confidential. I shall not disclose any Practice Information to anyone (except my accountant, lawyer or financial institution for the purpose of assessing my potential purchase of the Practice, in which case, before disclosing Practice Information, I shall advise any such recipients that I am bound by a duty of confidentiality and obtain their agreement to maintain confidentiality as well) without prior, written consent from MBC. I agree not to reproduce any Practice Information in any manner without prior, written consent from MBC.

I acknowledge that MBC represents the interests of the owner in these transactions, and is providing only customer service to me. MBC will deliver service with professionalism, honesty and integrity as well as provide known factual market information to me to assist with my own conclusions. I further understand that MBC also provides the same customer service to other potential purchasers related to such transactions. I understand that any information provided by MBC is not legal, tax or accounting advice, which should be obtained independently as required.

I agree that MBC, as the vendor’s agent, shall exclusively negotiate and present offers to the vendor. If, as a professional courtesy, MBC drafts the offer to purchase and sale, any such offer(s) will be provided to my lawyer for review prior to my signing. I acknowledge receiving a copy of this Agreement.

MBC confirms that any information that the above-signed provides to MBC of a personal, professional, financial or otherwise confidential nature (including their interest in acquiring a practice) shall be held in strict confidence.
